Brea Terms of Use

Please read these Terms carefully.

Brea provides personalised Capacity Intelligence. Brea is not medical care, psychotherapy, a crisis service, or an emergency response service. Talk to Brea is not monitored by a person in real time.

1.Who we are and how these Terms apply

Brea is provided by The Recalibrate Program, LLC, a North Carolina limited liability company, referred to in these Terms as “Brea,” “we,” “us,” or “our.” These Terms govern your access to and use of the Brea mobile application, website, conversations, assessments, Capacity Profiles, Capacity States, reports, educational content, and related services, collectively the “Service.”

By creating an account, selecting an acceptance control, or using the Service, you agree to these Terms and acknowledge the Privacy Policy and Consumer Health Data Privacy Policy. If you do not agree, do not use the Service.

2.Eligibility and employer sponsored access

You must be at least 18 years old and legally capable of entering into these Terms. Brea is designed for adult women navigating perimenopause, menopause, and postmenopause, but age alone does not determine whether the Service is appropriate for you.

Access is currently made available through participating employer sponsored programs. Your employer may confirm whether you are eligible for access, but your employer does not receive your identifiable health information, conversations, Capacity Profile, Capacity State, safety disclosures, or individual use history from Brea.

Brea may provide an employer with anonymous, aggregated program reporting only when at least 10 users are represented. Brea may apply additional suppression or grouping where reasonably necessary to reduce reidentification risk. An employer may establish eligibility or program duration, but it does not control Brea’s privacy practices for information you provide directly to Brea.

3.What Brea provides

Brea brings information about physiology, psychology, behaviour, daily demands, recovery, and patterns together to help you understand the capacity you have available to show up each day for the things that matter to you. Depending on the features available, Brea may provide:

  • Capacity Profiles, Capacity States, patterns, reflections, and reports;
  • daily, weekly, monthly, and longer term insights;
  • educational information about perimenopause, menopause, postmenopause, behaviour, wellbeing, and capacity;
  • AI generated conversation and personalised feedback through Talk to Brea;
  • tools that help you prepare, recalibrate, reflect, and identify matters to discuss with a qualified professional.

Features may change as Brea develops. Some features may not be available in every country, language, device, employer program, or operating system.

4.Not medical or mental health care

Important medical disclaimer

Brea does not diagnose, treat, cure, prevent, prescribe for, or clinically monitor any medical or mental health condition. Brea does not determine your clinical menopause stage and is not a substitute for a doctor, therapist, or other qualified professional.

Brea is not a doctor, healthcare provider, therapist, mental health professional, crisis service, or emergency response service. The Service provides Capacity Intelligence and general educational information. It does not create a clinician patient, therapist client, fiduciary, or other professional care relationship.

Do not use Brea to make or delay a decision about diagnosis, medication, hormone therapy, surgery, treatment, pregnancy, contraception, or urgent care. Always seek the advice of a qualified healthcare professional about symptoms, medical conditions, treatment options, and changes in your health. Never disregard or delay professional advice because of information from Brea.

If you have new, severe, persistent, or worsening symptoms, or believe you may have a medical emergency, contact an appropriate healthcare professional or local emergency service. Brea’s outputs may be incomplete, inaccurate, or not appropriate to your circumstances.

5.Safety and emergencies

Brea does not screen users for suicide, self harm, or harm to others. However, if your words clearly disclose a genuine concern involving self harm, suicide, or harm to another person, ordinary Capacity Intelligence may pause and Brea may direct you to immediate human support.

Where a statement is genuinely ambiguous, Brea may ask one brief question to understand what you mean. This is not a suicide, violence, or clinical risk assessment. Brea does not ask about plans, timing, intent, or means and does not determine a level of risk.

Talk to Brea is not monitored by a person in real time. Brea does not automatically notify emergency services, a trusted contact, a healthcare professional, the Brea team, your employer, your manager, or human resources. Brea may facilitate a user initiated call where technically possible.

If you or someone else may be in immediate danger, contact local emergency services or go to the nearest emergency department. Contact someone you trust and use an appropriate crisis service. Brea may ask you to confirm your country before displaying local crisis information and will not rely on device language alone to determine your location.

After a safety pathway is activated, ordinary engagement may remain paused until you select a statement confirming that you feel safe to continue. Your selection reports how you feel at that moment. It is not a clinical assessment or a determination by Brea that you are safe.

6.Artificial intelligence and personalised outputs

Brea uses artificial intelligence and rules based systems to analyse information you provide, identify patterns, conduct conversations, and generate Capacity Intelligence. AI generated outputs are probabilistic and can be inaccurate, incomplete, inconsistent, or inappropriate.

You remain responsible for your decisions and actions. Use Brea as one source of reflection and information, not as the sole basis for medical, employment, financial, legal, relationship, safety, or other significant decisions.

Brea does not use your personal information, consumer health data, private conversations, or Capacity information to train general purpose AI models. Service providers that process information for Brea are not permitted to use it to train their general purpose models.

7.Your account and responsibilities

You agree to provide accurate account information, protect your credentials and device, and notify Brea if you suspect unauthorised access. You are responsible for activity through your account unless caused by Brea’s failure to use reasonable safeguards.

You may use the Service only for personal, noncommercial purposes and in accordance with applicable law. You must not:

  • use Brea for emergency response, clinical diagnosis, treatment, or professional decision making;
  • impersonate another person, misrepresent eligibility, or access another user's account;
  • upload unlawful, infringing, malicious, or deliberately deceptive content;
  • harass, threaten, exploit, or attempt to harm another person through the Service;
  • reverse engineer, scrape, copy, probe, disrupt, overload, or bypass security or access controls;
  • use automated means to extract content or data except where applicable law expressly permits;
  • use Brea outputs or systems to develop, train, benchmark, or improve a competing model or service without written permission; or
  • use the Service in a way that violates another person's privacy, confidentiality, intellectual property, or other rights.

8.Your information and content

You retain ownership of information and content you submit. You give Brea a limited, worldwide licence to host, process, reproduce, transmit, and create derived insights from that information only as reasonably necessary to provide, secure, support, and improve the Service, comply with law, and exercise the rights described in the Privacy Policy. This licence ends when the information is deleted, except for information lawfully retained or deidentified.

Because Brea processes sensitive health and menopause information, Brea will request consent where applicable law requires it. You may withdraw consent through available settings, by deleting information or your account, or by contacting Brea. Withdrawal may prevent Brea from providing features that depend on that information. Your consumer health data rights and Brea’s collection, use, disclosure, retention, deletion, and appeal processes are set out in the Privacy Policy.

Do not submit information you do not have the right to provide. Brea treats your conversations as confidential and does not permit personnel to routinely read them. Limited authorised access may occur only when necessary for user requested support, security and fraud investigation, technical troubleshooting, or legal compliance, subject to access controls and confidentiality obligations.

9.Brea content and intellectual property

The Service, including its software, designs, trademarks, Capacity frameworks, ontology, prompts, methods, reports, text, graphics, and other Brea content, is owned by Brea or its licensors and protected by intellectual property laws. Subject to these Terms, Brea grants you a limited, personal, revocable, nonexclusive, nontransferable licence to use the Service during your authorised access.

You may download and share a report created for you for your personal purposes, including with a healthcare professional, unless the report states otherwise. You may not commercially exploit, modify, remove notices from, or redistribute Brea content except with written permission or as applicable law allows.

10.Third party services

The Service may depend on or link to third party services, including app stores, cloud infrastructure, analytics, communications, and AI processing providers. Brea is not responsible for third party services or their independent practices. Where a third party acts for Brea, it must process information under contractual restrictions described in the Privacy Policy.

11.Availability, changes, and international use

Brea is offered internationally where legally permitted and technically available. You are responsible for complying with laws that apply to your use. Brea may add, change, suspend, or discontinue a feature where reasonably necessary, including for safety, security, legal, technical, or programme reasons.

Brea aims to provide a reliable Service but does not promise uninterrupted or error free availability. Employer sponsored access may end when the programme or your eligibility ends. Ending sponsored access does not authorise your employer to receive your identifiable Brea information.

12.Account deletion, suspension, and termination

You may delete your account at any time through the Service or by contacting Brea. Deletion is subject to the process and limited exceptions described in the Privacy Policy. Deleting the application from your device does not by itself delete your account.

Brea may restrict or terminate access if you materially violate these Terms, create a security or legal risk, misuse the Service, or are no longer eligible for an employer sponsored programme. Where appropriate, Brea will provide notice and a reasonable opportunity to address the issue.

13.Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” BREA DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. BREA DOES NOT WARRANT THAT THE SERVICE OR ANY CAPACITY STATE, PROFILE, PATTERN, FEEDBACK, CONTENT, OR AI OUTPUT WILL BE ACCURATE, COMPLETE, RELIABLE, AVAILABLE, SECURE, OR SUITABLE FOR YOU.

Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded in your jurisdiction.

14.Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BREA AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF DATA, REPUTATION, OPPORTUNITY, PROFITS, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BREA’S TOTAL LIABILITY ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED US $100. THIS LIMIT DOES NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED, INCLUDING WHERE APPLICABLE LIABILITY FOR FRAUD, WILFUL MISCONDUCT, GROSS NEGLIGENCE, DEATH, OR PERSONAL INJURY.

15.Governing law and disputes

These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles. Subject to any mandatory rights you have under the law of your place of residence, the state and federal courts serving Gaston County, North Carolina will have exclusive jurisdiction over disputes arising from these Terms or the Service.

Before filing a claim, you and Brea agree to try in good faith for 30 days to resolve the matter informally by written notice to the contact below. This section does not prevent either party from seeking urgent injunctive relief or using a small claims process where eligible.

16.Changes to these Terms

Brea may update these Terms to reflect changes in the Service, law, technology, or business practices. If a change materially affects your rights, Brea will provide reasonable notice and request renewed acceptance where required. The effective date identifies the current version.

17.General Terms

These Terms, the Privacy Policy, form the agreement between you and Brea concerning the Service. If part of these Terms is unenforceable, it will be limited to the minimum extent necessary and the remainder will continue. Brea’s failure to enforce a term is not a waiver. You may not assign these Terms without Brea’s consent. Brea may assign them in connection with a reorganisation, financing, merger, acquisition, or transfer of the Service, subject to applicable privacy law.
